Terms of Use
These Terms of Use are an agreement between you and Jackson Blakley, who operates Your Film Room, a basketball charting service at yourfilmroom.com ("we" and "us"). By ticking the box when you sign in, or by using the service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the service.
Who may use the service
You must be 18 or older to create an account or use cloud features. The service is built for adult coaches, analysts and authorized staff. Children must not create accounts. If we learn that an account belongs to someone under 18, we may close it.
If you use the service for a school, club or other organization, you confirm that you are authorized to do so and that you have that organization's permission, and any required agreement, before you add its information. Using the service does not make us a school official or a service provider under any student-privacy law, and it does not create a data-use agreement. A school that needs one must sign a separate written agreement with us first.
Your account
Signing in uses a link sent to your email. There is no password. You are responsible for your email account and your devices, and for what happens under your account. Do not share sign-in links. Tell us promptly, at the address below, if you think someone else has used your account.
Each time you request a sign-in link you confirm that you agree to these Terms and the Privacy Policy. We record the date and the version you agreed to.
Your content
Your content means everything you add to the service: teams, players, charts, notes, statistics and film. You keep the rights you already have in it.
You give us a limited, non-exclusive, worldwide, royalty-free permission to store, copy, process and display your content, only so that we can provide, protect and support the service for you, comply with the law, and do what the Privacy Policy describes. This does not transfer ownership to us. We do not sell your content or use it for advertising.
You are responsible for your content. Only add information and film you have the right to use. Get the permissions you need from your organization, players, parents or guardians, and rights holders before adding their information or film, including film of games you did not record yourself. Add only what you need for basketball analysis. Do not add sensitive information such as government ID numbers, health or medical records, financial information, or disciplinary or academic records.
Acceptable use
Do not:
- access, or try to access, another person's account or data;
- bypass, probe or disable the service's security or limits, except as the security paragraph below allows;
- upload malware, or send the service traffic or requests meant to overload or disrupt it;
- use the service to harass, threaten or defame anyone, or to break the law;
- upload content that is unlawful, that infringes someone's rights, or that sexually exploits or endangers a child (we report suspected child exploitation to the authorities);
- copy, resell or sublicense the service, or use it to build a competing service.
Security reports. If you find a security problem, tell us privately at the address below, and do not access, change or share anyone else's data while you look. We will not take legal action over good-faith research that follows this paragraph and does not harm other people's data or the availability of the service.
Copyright and removal of content
If you believe something on the service infringes your copyright, email a notice to the address below that includes: your name and contact information; a description of the work you say was infringed; where the material is, so we can find it; a statement that you believe in good faith that the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you own the work or are authorized to act for the owner; and your signature (a typed name is fine). We may remove or disable the material and tell the account holder, who may send a counter-notice. We may close the accounts of people who repeatedly infringe.
We may also remove or disable content, or restrict access, if we reasonably believe it breaks these Terms or the law.
Saving, backups and availability
The app saves on your device first. Browser storage can be cleared or lost. Cloud backup is optional and can be delayed or fail when you are offline or a provider is unavailable. Keep your own exports and original film files; exports do not include video. Storage allowances and file-size limits apply and may change. Signing out does not erase data from a shared browser. The service is not a backup or archive service.
Check statistics before you use them for an official record or an important decision. The service is an analysis aid, not an official scorebook, and we do not promise that statistics are accurate, that the service is always available, or that data is kept permanently.
The service is free today. We may change, limit, suspend or end features. When reasonably possible, we will give notice and a chance to export your data first.
Paid features
If we offer paid plans later, we will show the price, billing and cancellation terms before you buy, and they apply only if you agree to them. We will not charge you without your clear consent.
Privacy and deletion
The Privacy Policy explains what we collect, where it is stored, who can access it, and what deletion does and does not remove. You can export your data and delete your account in Settings. Copies outside the service, such as downloaded files and other devices, are not deleted automatically.
Ending your use
You can stop using the service at any time, and you can delete your account in Settings. Deletion is permanent.
We may suspend or end your access if you break these Terms, if your use creates a security or legal risk, or if the law requires it. When reasonably possible, we will tell you and give you a chance to export your data first, unless the situation is urgent or the law prevents it. Sections that by their nature should continue, including those on ownership, disclaimers, liability, indemnification and governing law, continue after your use ends.
Our rights
The service, its software, design, name and logo belong to us. These Terms give you a limited, revocable, non-transferable right to use the service for its intended purpose. If you send us feedback or suggestions, we may use them without owing you anything.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE ERROR-FREE, SECURE OR UNINTERRUPTED, OR THAT YOUR DATA WILL NOT BE LOST OR CORRUPTED.
Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS, REVENUE, GOODWILL OR OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND $100.
Nothing in these Terms limits liability that the law does not allow to be limited. Some places do not allow certain limits, so part of this section may not apply to you.
Indemnification
To the extent the law allows, you will indemnify us, meaning you will defend us and cover the reasonable costs of third-party claims that arise from your content, your breach of these Terms, or your failure to get permissions you were required to get, such as from players, parents, guardians, schools or rights holders. This does not apply to claims caused by our own misconduct.
Governing law and disputes
These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules. A dispute that cannot be resolved informally will be brought in the state courts in Johnson County, Kansas or, where federal jurisdiction exists, the federal court for the District of Kansas, and you agree to those courts' jurisdiction. Before filing a claim, each of us will first try to resolve the dispute by email and will allow 30 days to do so.
Changes to these Terms
We may update these Terms. The effective date at the top shows the latest version. For material changes we will post a notice on the site and, when reasonably possible, email account holders before the change takes effect. If you keep using the service after the effective date, you accept the updated Terms. You also confirm the current version each time you request a sign-in link.
General
These Terms and the Privacy Policy are the whole agreement between you and us about the service. If a part is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms. We may transfer ours, including to a business we form, or sell to, that takes over the service; if that happens we will update this page. We may send notices to the email address on your account or post them on the site.
